1. Overview of the Referral Program

Top Latin Talent partners with individuals and businesses who refer qualified clients or candidates. As a Referring Partner, you will help connect us with companies or candidates seeking recruitment services. Top Latin Talent reserves the right to accept or reject any referred lead at its discretion.

2. Eligibility and Incentives

A “Referral” refers to any client or candidate introduced to Top Latin Talent by the Referring Partner, provided that the client or candidate (i) is not already in contact with Top Latin Talent, (ii) agrees to work with Top Latin Talent, and (iii) completes a successful placement and payment.

To qualify as a referral:

• The referred client must mention your full name or email prior to signing a contract with Top Latin Talent, OR
• You must provide an introduction of the client directly to our team prior to the contract being signed.
• Top Latin Talent reserves the right to reject a referral if the client fails to provide the necessary referral information at the time of contract signing.
• Only U.S. residents and citizens are eligible to participate in this referral program, and referral payments will only be made to U.S. bank accounts.

3. Referral Incentive Options:

1. Refer companies to hire freelancers through our partner and earn for every hour worked.

• Earn money for every hour a freelancer works at a company you refer.

2. Refer companies to hire full-time software engineers through our partner and earn a monthly commission.

• Introduce businesses that need full-time software engineers.
• Earn $250 per month for 12 months per engineer hired.
• In year 2, earn 75% of the rate ($187.50/mo), and in year 3, earn 50% of the rate ($125/mo).

3. Traditional Recruiting

This referral program applies only to recruitment fees from Top Latin Talent and excludes any partnership programs.

As a Referring Partner, you have two options for the referral incentive:

• Receive 10%: You may choose to receive 10% of the recruitment fees paid by the client to Top Latin Talent for a period of three (3) years from the date of the client’s first payment. This applies only to recruitment fees and excludes other services or partnerships.
• Client Discount for the First Year: Alternatively, you may elect to allow your clients to retain the 10% that would have been paid to you, offering them a 10% reduction in their recruitment fees.

Your choice between these two options must be made at the time of signing this Agreement.

4. Payment Terms

Payments will be processed on a quarterly basis, and funds will be transferred via ACH within 60 days after the end of the quarter in which the client’s payment is received.

To ensure timely payments, you are required to provide and maintain accurate bank account details, tax forms (such as a valid W-9 for U.S. partners), and any other required information. Failure to provide this information could delay or prevent your referral payments.

If a client defaults or cancels payment for any reason, referral fees will be adjusted accordingly.

If you choose to let your clients retain the 10% discount, no referral payments will be made to you, and the client’s fee will be reduced accordingly.

5. Termination of Agreement

This Agreement may be terminated by either party at any time, with at least ten (10) days’ written notice. In the event of termination:

• You will continue to receive referral fees for any payments received by Top Latin Talent’s designated bank account for up to twelve (12) months after the termination date, regardless of when the placement occurs.

6. Independent Contractor Relationship

The relationship between Top Latin Talent and the Referring Partner is strictly that of independent contractors. The Referring Partner is not an employee, agent, or representative of Top Latin Talent, and has no authority to make commitments or enter into agreements on behalf of Top Latin Talent.

7. Confidentiality and Data Protection

Throughout this partnership, both Top Latin Talent and the Referring Partner may share confidential information, including client or candidate details, pricing, and business processes. All such information is to be kept strictly confidential and used only for the purposes of this Agreement.

The parties agree to take all reasonable precautions to protect this information and comply with applicable data privacy laws. Any breach of confidentiality by the Referring Partner may result in termination of this Agreement and possible legal action.

8. Use of Branding and Marketing

Top Latin Talent may provide marketing materials for the Referring Partner to use in promoting our services. However, the use of Top Latin Talent’s name, logo, or any other trademarks in public-facing materials, advertisements, or other forms of media requires prior written consent from Top Latin Talent.

Additionally, as a Referring Partner, you consent to receive email communications from Top Latin Talent, including newsletters, updates, and promotional content. You may opt out of these communications at any time.

9. General Terms

Governing Law: This Agreement will be governed by and construed in accordance with the laws of Illinois, without reference to its conflict of law principles.

Limitation of Liability: Top Latin Talent will not be liable for any indirect, incidental, special, or consequential damages, including lost profits. Our maximum liability under this Agreement is capped at the greater of $200 or the total Referral Fees earned by the Referring Partner in the preceding twelve (12) months.

Assignment: This Agreement cannot be assigned by the Referring Partner without written consent from Top Latin Talent. However, Top Latin Talent may assign this Agreement to an affiliate or successor entity without notice.

Amendments: Top Latin Talent reserves the right to modify the terms of this Agreement upon providing at least thirty (30) days’ notice. Any continued participation in the referral program after such notice constitutes acceptance of the revised terms.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect. Failure to enforce any provision of this Agreement will not constitute a waiver of future enforcement of that provision.
